This is a shortened English version. The contract is concluded in Dutch or in French, at the customer’s choice. The full Dutch text is the binding version, and it prevails in the event of any difference with this page. This page exists so that you can read the substance in English before you sign in Dutch or French.

1. Who we are

Halingo is a web application for running a speech therapy practice. It is a product name, not a legal entity. It is offered by Autopilot Pte. Ltd., 160 Robinson Road, #14-04 Singapore Business Federation Centre, Singapore 068914, Singapore, Singapore UEN 202011848W. Write to support@halingo.be for support and to info@halingo.be for anything else. We have no establishment in Belgium or in the European Union.

2. The subscription

You get a non-exclusive, non-transferable right to use Halingo to run your own practice. The subscription is per practice, not per user, and every subscription type includes every feature and our support. You may not use Halingo to run another practice, make it available to third parties, or circumvent its security. Those limits do not affect your mandatory rights as a lawful acquirer of software under Articles XI.299 and XI.300 of the Code of Economic Law.

3. The 30-day free trial

Every new customer gets thirty calendar days of free access to every feature, granted once per customer and per practice. The trial does not turn into a paid subscription by itself. If you do not subscribe, you can no longer add or change data, but we do not delete anything. Article 6 below applies: your data stays and you keep read-only access to it. We remind you by email at the start of the trial and fourteen days before it ends that you must keep your patient records as a matter of law. The data processing agreement applies from the first day of the trial.

4. Prices and payment

24,20 EUR, 54,45 EUR or 78,65 EUR per month, per practice, depending on the type (1 user, 2 to 5 users, more than 5 users). The amount shown is the amount you pay. Billing is monthly and each subscription month is indivisible. You pay inside Halingo, by card or Bancontact, through Stripe. An invoice is payable within thirty calendar days and may be contested within thirty calendar days by email or registered letter. We give two months’ notice of any price change, and you may leave free of charge before it takes effect.

If an invoice is not paid we send a reminder, and interest and the fixed 40 EUR recovery sum under the Act of 2 August 2002 become due fourteen days later. The same applies to us if we owe you money and pay late. We never delete data because an invoice is unpaid.

5. Ending the contract

The contract is for an indefinite term with no minimum period. You can stop at any moment, without a reason and without a fee, in Halingo itself: practice, then subscription, then stop, then yes. Until it takes effect you can undo it with the keep button. There is no notice period for you. Your cancellation takes effect on the last day of the subscription month already invoiced, which is not refunded. We can only end the contract on three months’ notice, and we refund the part you have paid for after that date.

6. Your data after the contract ends

We say this plainly: Halingo has no export function today. You cannot extract your data set in one operation. You can show your agenda on another device through a link, and you can open, print or save as a pdf each patient file, report, invoice, certificate and collective statement individually. That is all there is.

That is exactly why we do not delete your data when the contract ends. You keep free access, with your existing credentials, to a read-only version of your own data in Halingo: you can consult, open and print everything, and you can no longer add or change anything. This is an obligation on us, not a courtesy, and we maintain it for as long as we offer Halingo.

We delete your data only if you ask us to in writing, and only after we have first made it available to you in a readable form, free of charge and within thirty calendar days. We confirm the deletion in writing afterwards. If we ever discontinue Halingo, we give six months’ notice and make your data available in a readable form before anything is deleted.

You remain responsible, as a healthcare provider, for keeping your patient records for at least thirty years from the last patient contact, under Articles 33 to 35 of the Act of 22 April 2019. A read-only version on our systems is not legal retention and does not discharge that duty.

7. Availability and support

We work to keep Halingo available at all times but cannot guarantee that it is never interrupted. Planned maintenance is announced five working days ahead and normally falls outside Belgian working hours. We make backups of the data and keep them in the European Union. Annex II to the data processing agreement describes the security measures.

Support is included. Use the help centre at support.halingo.be or write to support@halingo.be. We answer in Dutch, French, English and German. We do not promise a response time. We answer as fast as we can. Do not send patient data with a support question.

8. What we expect of you as a healthcare provider

You are the controller for the data you enter about your patients. You decide what you enter, why, and for how long, and you answer for its accuracy and for the rules of your profession, including your retention duty and the Riziv rules. Your professional secrecy remains yours: our exceptional access to a patient file does not discharge you under Article 458 of the Criminal Code. We claim no professional secrecy of our own, and everyone who works for us is bound by contract to the same secrecy, for the same duration, including after they leave. If you connect Halingo to a third-party service such as the Rosa appointment platform, you do so on your own instruction and under your own contract with that party.

9. Suspension

We can suspend or restrict access for an objective reason: a serious breach of the use rules or of the credentials rules, a use that endangers security or availability for other customers, a legal obligation, or an invoice left unpaid after the reminder and the extra period. We tell you first and what you can do about it, unless immediate suspension is needed for security, in which case we tell you within twenty-four hours. During a suspension you keep the read-only version of your data and we delete nothing.

10. Liability

We are liable for damage caused by a failure to perform our obligations, including loss, alteration or unlawful disclosure of data attributable to us. Our total liability per calendar year is capped at the subscription fees you paid in the twelve months before the event, with a minimum of 1 000 EUR. The cap does not apply in case of intent or gross fault, physical injury, breach of an essential obligation, or liability towards data subjects under Article 82 GDPR. We are not liable for the accuracy of what you enter, for your compliance with the rules of your profession, or for a third-party service you connected yourself. A claim lapses if it is not made in writing within two years of discovering the damage.

11. Intellectual property

All intellectual property in Halingo belongs to us. The data you enter remains yours; we acquire no right over it beyond processing it as the contract and the data processing agreement provide. We may build aggregated and fully anonymised usage statistics, never from the content of a patient file, and you can object at support@halingo.be.

12. Changes

We may keep developing Halingo. We will not remove or restrict a feature that is essential to running a speech therapy practice without two months’ notice. We may change these terms for a stated reason: a change in the law or in a binding decision of an authority, a change to the service, a change of provider or sub-processor, or the correction of an ambiguity or error that does not reduce your rights. We give thirty calendar days’ notice, saying what changes and why. If you do not agree you may terminate free of charge before the change takes effect, keeping all your rights under section 6.

13. Personal data

We are the controller for data about you as our customer; our privacy statement explains that processing. You are the controller for the data you enter about your patients, and we are your processor; the data processing agreement in Annex 1 governs that and forms part of your contract, and it prevails over these terms if they conflict. We do not use your data for direct marketing and send no newsletter. We do not sell, rent or exchange it. Any marketing consent obtained under an earlier version of these terms is withdrawn by us and will not be used.

14. Applicable law and court

Belgian law applies, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods. The enterprise court of Leuven has exclusive jurisdiction over any dispute about the formation, performance or termination of the contract. That choice of court is exclusive within the meaning of the Hague Convention of 30 June 2005 and applies in the same way to both parties.
